What has changed
ASIC has finalised new rules requiring listed companies on Australian financial markets to disclose more detail about who ultimately owns, controls, or has significant financial exposure to them. The reforms were passed into law in December 2025.
New instruments registered
ASIC has registered two instruments to support these changes:
- ASIC Corporations (Listed Entities Enhanced Beneficial Ownership) Instrument 2026/482
- ASIC Corporations (Amendment and Repeal) Instrument 2026/483
New Substantial Holding Notice form
ASIC has merged three existing forms - Form 603, Form 604, and Form 605 - into one new Substantial Holding Notice (SHN) form.
Key dates
4 December 2026: Enhanced beneficial ownership disclosure obligations apply to listed entities under the new rules.
4 December 2026 to 4 June 2027 (transition period): Interest holders can use either the new SHN form or three replacement transition forms.
4 June 2027: The three replacement transition forms are no longer accepted. Only the new SHN form is to be used from this date.
