What happened
The Supreme Court of New South Wales made orders on 27 July 2026 to wind up Capital Guard AU Pty Ltd following a successful application by the Australian Securities and Investments Commission (ASIC).
Robert Kirman and Jacinta Nielsen of McGrathNicol have been appointed as joint liquidators. Their role is to take control of the company, investigate its affairs, and work to recover assets for creditors and investors.
What ASIC found
Capital Guard marketed itself as a regulated financial services provider specialising in corporate bonds. ASIC found the company raised approximately $17.4 million from around 80 investors, with only a small proportion of those funds remaining in known company accounts.
ASIC's concerns include:
- The handling of investor funds
- The promotion of bond investments that may not have existed as represented, including a bond described as a Macquarie Bank bond
- Providing false documents to its auditor
- Serious governance and compliance failures
ASIC had already cancelled Capital Guard's Australian financial services licence on 29 June 2026. Capital Guard was added to ASIC's Moneysmart Investor Alert List on 3 July 2026 following that cancellation.
ASIC's investigation into Capital Guard and related persons and entities is ongoing.
